ZF India Pvt Ltd and Japan’s Somic Ishikawa Inc. have reached a strategic agreement under which Somic Ishikawa will acquire 100% shareholding in Somic ZF Components Pvt Ltd, transitioning the long-standing joint venture into a wholly owned subsidiary of the Somic Group.
Established in 1993, Somic ZF Components has steadily expanded its presence in steering and suspension systems, supported by three state-of-the-art manufacturing facilities in India strategically located near key customers. Post-acquisition, the existing management team will remain in place to ensure continuity and maintain strong customer relationships.
For Somic, this acquisition is a critical step toward scaling its footprint in India and aligns with its broader ambition of becoming a leading player in the Indian automotive components sector. The company aims to leverage the joint venture’s established assets—technology, operational expertise, and customer goodwill—to accelerate innovation and deliver enhanced value.
ZF Group, meanwhile, will continue to support the business by licensing its technology and designs to the new Somic-owned entity. This will ensure uninterrupted product supply and business continuity for current and future customers. The divestment is aligned with ZF’s strategy to streamline operations, focus on core strengths, and unlock greater value across its portfolio in India.
Kaname Saito, Managing Director of Somic Ishikawa, said, “I’m pleased to deepen our commitment to India, a market that is key to our global growth ambitions. We will strive to offer even better products and ensure ongoing customer satisfaction.”
Akash Passey, President, ZF Group India, added, “This is a strategic step towards optimising our focus on core chassis solutions and supporting India’s evolving automotive landscape. We remain committed to delivering high-value systems for the local market.”
The acquisition positions Somic for long-term growth in India while ensuring seamless transition and stability for customers as both firms chart distinct paths in the evolving auto component ecosystem.
